Welcome to Propy Mgmt LLC (“Propy Mgmt,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our website www.propymgmt.com (the “Site”) and any services, forms, or content offered through it (collectively, the “Services”).
By accessing or using the Site, you agree to these Terms. If you do not agree, please discontinue use immediately.

1. Scope & Acceptance
These Terms govern (a) your use of the Site and (b) any inquiry, submission, or preliminary arrangement regarding property leasing, management, or corporate housing services offered by Propy Mgmt LLC (collectively, the “Services”).
By using the Site or engaging with us, you agree to these Terms. All formal leasing, management, or revenue-share agreements are subject to separately executed written contracts.
2. Eligibility and Purpose
This Site is intended for property owners, investors, and guests who are 18 years of age or older and reside in the United States. By using our Site, you represent that you meet these requirements.
3. Company Role & Overview
Propy Mgmt LLC is a licensed and insured Florida property management company that:

leases or manages residential units for use as short-term or mid-term executive, corporate, or family housing;

advertises and operates such units through reputable third-party platforms (e.g., Airbnb®, Vrbo®, Booking.com®, Expedia®, CHBO®, Landing®, Blueground®, CorporateHousing.com®, and others); and
-
provides professional cleaning, limited maintenance, and guest-vetting services.
We do not act as a real-estate broker for property sales.
Nothing on this Site constitutes legal, financial, or investment advice. Any leasing or management relationship will be governed by a separate written agreement between you and Propy Mgmt LLC.
4. Property Leasing & Financial Terms
When Propy Mgmt LLC leases a property directly:

Base Rent: Rent is paid monthly to the property owner under the terms of a signed lease. Rent is guaranteed for the lease term unless otherwise specified.

Concessions: Any rent-free periods, owner-paid utilities, or waived deposits are negotiated individually and reflected in the executed lease.

Taxes: Unless stated otherwise, property taxes, insurance, and mortgage obligations remain the owner’s responsibility.

Utilities: Utilities may be transferred from the property owner to Propy Mgmt for the duration of the lease to facilitate operational management and guest services.

Security Deposits: Not applicable. Propy Mgmt does not require security deposits from property owners or guests; damages are handled through insurance and operational safeguards.
When Propy Mgmt LLC manages (rather than leases) a property:

Management Fees: Fees typically range from twenty percent (20%) to thirty-five percent (35%) of the gross monthly rental income, depending on the level of service provided, or if both parties agree, a fixed flat monthly fee may be established in writing.

Owner Payments: Net proceeds (after management fees, maintenance expenses, and other authorized deductions) are remitted monthly to the property owner via ACH or other agreed method.

Accounting: Monthly income statements and accounting summaries are available to property owners upon request.
When Propy Mgmt LLC manages (rather than leases) a property:

Management Fees: Fees typically range from twenty percent (20%) to thirty-five percent (35%) of the gross monthly rental income, depending on the level of service provided, or if both parties agree, a fixed flat monthly fee may be established in writing.

5. Advertising & Booking Platforms
Propy Mgmt may advertise and manage each property across multiple booking platforms to maximize exposure.

All guest reservations are made only through verified accounts managed by Propy Mgmt.

Property owners acknowledge that branding, photos, and listings created by Propy Mgmt are proprietary marketing materials owned by Propy Mgmt.

Guest communications, bookings, and payments are handled exclusively by Propy Mgmt or its designated agents.

Platform service fees, commissions, and transaction costs are considered part of operational expenses.
6. Guest Vetting & Occupancy Standards

All guests are identity-verified and screened through trusted partners.

No felonies or violent misdemeanors are permitted.

Employment or relocation documentation is obtained when applicable.
-
No pets or smoking are allowed except for legally required service animals.
-
Maximum occupancy is limited per lease or platform regulation.

Propy Mgmt cannot guarantee guest behavior but exercises commercially reasonable diligence.
7. Cleaning & Maintenance
Propy Mgmt provides:
-
routine cleaning between guest stays;
-
linen and supply restocking; and
-
minor maintenance up to $300 per property.
Major Repairs & Owner Responsibility
The property owner is solely responsible for all major repairs or replacements, including structural, electrical, HVAC, plumbing, and other significant systems. Propy Mgmt will obtain the owner’s approval prior to undertaking any major repair.
In emergency situations where immediate action is necessary to prevent further damage or ensure habitability, Propy Mgmt is authorized to arrange and approve urgent repairs on the owner’s behalf. Propy Mgmt will use commercially reasonable judgment and will promptly notify the owner of such actions. The owner agrees to reimburse Propy Mgmt for any emergency expenses incurred.
Propy Mgmt shall not be liable for any costs, damages, or losses related to major repairs, except in cases of our gross negligence or willful misconduct.
8. Property Damage & Liability
Guest-Caused Damage: Propy Mgmt does not require security deposits. Any damage caused by guests will be handled through platform-provided damage protection programs or Propy Mgmt’s insurance policies where applicable. Propy Mgmt exercises commercially reasonable diligence in vetting guests and managing the property but cannot guarantee that all damages will be prevented.
Indemnification: Each party agrees to indemnify and hold the other harmless from claims, damages, liabilities, costs, and expenses arising from its own negligence, misconduct, or breach of these Terms.
Limitation of Liability: To the fullest extent permitted by law, Propy Mgmt’s total liability for any claim, loss, or damage related to the property shall not exceed the monthly rent or management fee actually received for the affected property, except in cases of Propy Mgmt’s gross negligence or willful misconduct.
9. Insurance Requirements
Propy Mgmt LLC maintains general liability and business insurance covering its operations.
Property owners are required to maintain homeowner or landlord insurance adequate to cover the dwelling and liability arising from ownership.
10. Contracts, Amendments, and Authorization Forms
A. Contracts & Amendments
All formal leasing, management, or partnership relationships between Propy Mgmt LLC (“Propy Mgmt”) and any property owner or client must be established through a written and fully executed agreement.

Any verbal communication, email, or informal discussion shall not be binding until a written contract is signed by both parties.

All modifications, amendments, or addenda to a lease, management agreement, or proposal must be made in writing and signed by authorized representatives of both parties.

Electronic signatures (via DocuSign or similar) are considered legally valid and binding.

No Propy Mgmt employee, agent, or representative has authority to alter a contract or make binding commitments unless expressly authorized in writing by company management.
B. City and County Permits
If local ordinances require rental permits or registrations, the owner must either (a) execute an Owner Authorization Letter allowing Propy Mgmt to obtain the permit, or (b) secure and maintain the permit directly.
Certain localities may require permits or registrations for short-term, mid-term, or corporate housing use.

If required, the Property Owner must execute a Property Owner Authorization Letter authorizing Propy Mgmt to apply for, obtain, or renew the necessary city and/or county permits.

The Property Owner may alternatively choose to apply for the permit directly and maintain compliance independently.

Propy Mgmt will not be held responsible for fines, penalties, or enforcement actions arising from the Property Owner’s failure to obtain or maintain required permits.

The Property Owner agrees to provide any documents necessary for compliance, including proof of ownership (e.g., deed or property tax record) and HOA consent letters, if applicable.

Propy Mgmt may charge a reasonable administrative fee for managing permit applications, renewals, and inspections if not covered under an existing lease or management agreement.
C. Regulatory Changes
Should city, county, or state regulations change during the term of a lease or management agreement, both parties agree to cooperate in good faith to bring the property into compliance.

Necessary amendments or updates to the existing agreement may be executed to reflect new requirements, fees, or restrictions.

If compliance becomes impossible or unreasonably burdensome due to regulatory changes, either party may terminate the agreement with 30 days’ written notice without penalty.
D. Owner Cooperation
The Property Owner agrees to provide prompt cooperation with all compliance, permitting, and inspection efforts initiated by Propy Mgmt or local authorities. Failure to cooperate may result in suspension or termination of management services and forfeiture of any promotional concessions.
11. Data & Privacy
Personal and property information submitted through our Site is handled in accordance with our Privacy Policy.
By submitting your information, you consent to our collection and use of data to evaluate and manage your property.
12. Use of the Website
You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not:

Engage in any activity that disrupts or interferes with the Site’s security or functionality.

Upload, transmit, or distribute malware, spam, or any other harmful code.

Impersonate any person or entity or misrepresent your affiliation with Propy Mgmt.

Attempt to access data not intended for you or probe the Site for vulnerabilities.
We reserve the right to restrict or terminate access to any user who violates these Terms.
13. Property Listings & Information Accuracy
While we strive to keep property and service information accurate, availability and pricing may change without notice. We make no guarantees as to the accuracy, completeness, or reliability of listings, images, or descriptions.
All rental arrangements, concessions, and income projections are illustrative only and subject to separate written agreement.
14. Third-Party Links
Our Site may contain links to external websites, including property-listing platforms (e.g., Airbnb, Vrbo, Booking.com). These third-party sites are not operated or controlled by us. We are not responsible for their content, privacy practices, or policies.
15. Disclaimers
A. No Warranty: The Site and Services are provided “as is” and “as available,” without warranties of any kind, express or implied. We do not warrant that the Site will be error-free, secure, or continuously available.
B. Limitation of Liability: To the fullest extent permitted by law, Propy Mgmt LLC and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of the Site or Services.
C. Indemnification: You agree to defend, indemnify, and hold harmless Propy Mgmt LLC from and against all claims, damages, liabilities, costs, and expenses arising from your use of the Site, your property participation, or breach of these Terms.
16. Dispute Resolution & Governing Law
These Terms and any related agreements shall be governed by and construed under the laws of the State of Florida, without regard to conflict-of-law principles.
Disputes shall be resolved through good-faith negotiation; if unresolved, either party may bring action in the state or federal courts located in Hallandale Beach, Florida.
17. Amendments
We may update these Terms periodically. The latest version will always be available on our website with the effective date shown above. Continued use constitutes acceptance of any modifications.
By accessing or using this Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not agree to these Terms, please do not use this Site.
